3. Client Responsibilities

Clients are expected to:

• Provide complete and accurate information for projects
• Review deliverables within the agreed timeframe
• Make payments as per the invoice schedule
• Obtain rights to any third-party materials provided to us for use in their projects

Failure to meet these obligations may result in delays or termination of service.

4. Payments

All service fees must be paid according to the terms specified in your invoice. We reserve the right to suspend services for overdue payments.

Please note that all payments are final. We do not offer refunds once work has commenced or deliverables have been shared, unless otherwise agreed in writing prior to project start.

5. Intellectual Property

Unless otherwise agreed in writing:

• All materials created by Code Canvas (designs, code, content, etc.) remain our intellectual property until full payment is received.
• Upon payment, ownership of custom deliverables is transferred to the client, except for third-party components or software licenses.
• We reserve the right to display completed projects in our portfolio or for promotional purposes.

6. Confidentiality

We respect your confidential information. Any materials shared with us that are marked or understood to be confidential will not be disclosed to third parties without your consent, unless required by law.

7. Third-Party Services

Our work may include the integration of third-party tools (e.g., Google Analytics, hosting providers, plugins). We are not responsible for the performance, terms, or policies of these services.

8. Limitation of Liability

To the extent permitted by law, Code Canvas Consultants Ltd. shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of data, revenue, or profits
• Delays caused by third-party service providers or client-side failures

Our total liability under these Terms will not exceed the amount paid for the services rendered in the three months preceding the claim.

9. Termination

Either party may terminate a service agreement with reasonable written notice. Upon termination:

• You are responsible for payment of all services rendered to date
• We may retain project files until outstanding balances are paid

10. Governing Law

These Terms are governed by the laws of the Republic of Trinidad and Tobago. Any disputes arising shall be subject to the exclusive jurisdiction of the local courts.

11. Changes to Terms

We may update these Terms occasionally. Any significant changes will be posted on this page with an updated date. Continued use of our site or services after such updates constitutes your acceptance of the changes.
